Contributor License Agreement

Contributor acknowledges and agrees that:

• 813 Management exclusively owns all right, title, and interest in and to Pulse Products.
• Nothing in this Agreement grants Contributor any ownership interest, equity, authorship, or joint rights in Pulse Products.
• Contributions do not create any joint authorship, joint ownership, partnership, or co-development relationship.

Contributor retains ownership of the Contribution only to the extent such ownership is not limited or superseded by the licenses, assignments, and waivers granted herein.

Contributor hereby irrevocably grants to 813 Management a perpetual, worldwide, exclusive, transferable, sublicensable, royalty-free, fully paid-up license to the Contribution and all associated intellectual property rights, to:

the Contribution, in whole or in part, for any purpose whatsoever, including incorporation into Pulse Products, competitive products, successor products, internal tools, or third-party offerings.

813 Management may exercise these rights without attribution, notice, approval, or compensation to Contributor.

To the maximum extent permitted by law:

• Any derivative works, improvements, enhancements, or modifications to Pulse Products that are based on, derived from, or incorporate the Contribution shall be deemed works made for hire for 813 Management.

To the extent any such works are not deemed works made for hire, Contributor hereby irrevocably assigns all right, title, and interest in such works to 813 Management.

Contributor hereby grants to 813 Management a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable patent license under any patents or patent applications owned or controlled by Contributor that are necessarily infringed by:

• The Contribution, or
• The use, manufacture, sale, distribution, or commercialization of Pulse Products incorporating the Contribution.

Contributor further agrees not to assert, and irrevocably waives any right to assert, any patent, intellectual property, or proprietary claim against 813 Management or its sublicensees arising out of or relating to the Contribution or Pulse Products.

To the fullest extent permitted by law, Contributor irrevocably waives all moral rights, droit moral, and similar rights worldwide, including rights of attribution, integrity, disclosure, or withdrawal, and agrees not to assert such rights against 813 Management or its sublicensees.

Contributor expressly acknowledges and agrees that:

• 813 Management may re-license Contributions under any license terms, including proprietary, closed-source, or commercial licenses.
• 813 Management may monetize Contributions without restriction.
• 813 Management has no obligation to maintain open-source availability or community access.

Contributor represents, warrants, and covenants that:

1. 1Contributor has full legal authority to enter into this Agreement.
2. 2The Contribution is original or Contributor has obtained all necessary rights and permissions.
3. 3The Contribution does not infringe, misappropriate, or violate any third-party rights.
4. 4The Contribution is not subject to copyleft or reciprocal licenses (including GPL, AGPL, LGPL, or similar) unless expressly disclosed in writing and approved by 813 Management.
5. 5The Contribution does not contain confidential, proprietary, or trade secret information of any third party.
6. 6Submission of the Contribution does not violate any employment, consulting, or contractual obligations.

Contributor agrees to indemnify, defend, and hold harmless 813 Management from any claims arising from breach of these representations.

Contributor acknowledges that Contributions are non-confidential, and 813 Management is under no obligation to treat any Contribution as confidential or proprietary.

Contributor agrees that:

• Contributions are voluntary
• No compensation, royalties, fees, or other consideration are owed
• 813 Management may accept, reject, modify, remove, or discontinue use of any Contribution at its sole discretion

Nothing in this Agreement creates any employment, agency, partnership, fiduciary, joint venture, or similar relationship between Contributor and 813 Management.

This Agreement applies to all Contributions submitted now or in the future. All licenses, assignments, waivers, and covenants granted herein are irrevocable and survive termination.

Sections 2 through 13 survive termination.

This Agreement shall be governed by and construed in accordance with the laws of the state in which 813 Management, LLC is organized, without regard to conflict-of-laws principles.

Contributor consents to exclusive jurisdiction and venue in such courts.

This Agreement constitutes the entire agreement between the parties regarding Contributions and supersedes all prior or contemporaneous agreements or understandings relating thereto.
