Developer Terms of Service

These Developer Terms of Service ("Terms") constitute a legally binding agreement between 813 Management, LLC, a Utah limited liability company, including its subsidiaries, affiliates, successors, and assigns (collectively, "813 Management," "we," "our," or "us"), and any individual or entity ("Developer," "you," or "your") accessing or using our developer resources.

These Terms govern access to and use of all PulseCRM and PulseAPI application programming interfaces ("APIs"), software development kits ("SDKs"), documentation, code repositories, developer tools, sample code, and related materials (collectively, "Developer Resources").

By accessing or using any Developer Resources, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease all access and use.

1Acceptance and Eligibility

1.1 Acceptance

These Terms become effective upon any access to or use of Developer Resources, including but not limited to viewing documentation, making API calls, downloading SDKs, cloning repositories, or submitting applications for API credentials. No signature or explicit acceptance is required; access constitutes acceptance.

1.2 Eligibility

You represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding agreements.
  • If acting on behalf of an entity, you have full authority to bind that entity to these Terms.
  • You are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions or embargoes.
  • You are not on any U.S. government restricted parties list.

1.3 Modifications

813 Management reserves the right to modify these Terms at any time without prior notice. Continued access to or use of Developer Resources after modifications constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2No License Grant; Intellectual Property

2.1 No Implied Licenses

No license, right, title, or interest in or to any intellectual property of 813 Management is granted or implied by these Terms or by access to Developer Resources, except for the limited, revocable access expressly set forth herein. All rights not expressly granted are reserved by 813 Management.

2.2 Ownership

813 Management exclusively owns all right, title, and interest in and to PulseCRM, PulseAPI, all Developer Resources, and all associated intellectual property, including patents, copyrights, trademarks, trade secrets, and proprietary information. Access does not transfer any ownership rights.

2.3 No Publication or Disclosure of IP

No act of publication, access, or distribution of Developer Resources shall be deemed a publication or disclosure of underlying intellectual property, including but not limited to trade secrets, proprietary algorithms, source code, business methods, or any other confidential information of 813 Management. Developer Resources are provided solely to facilitate interoperability with 813 Management systems and do not constitute any waiver, abandonment, or dedication of intellectual property rights to the public domain.

2.4 Limited Access

Subject to strict compliance with these Terms, 813 Management grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable permission to access and use Developer Resources solely for the purpose of developing applications that interoperate with PulseCRM or PulseAPI. This permission may be revoked at any time, for any reason or no reason, without notice.

3API Access and Credentials

3.1 Credential Security

You are solely responsible for maintaining the confidentiality and security of all API keys, tokens, credentials, and access codes issued to you. You must:

  • Never share credentials with unauthorized parties.
  • Never embed credentials in client-side code or public repositories.
  • Immediately notify 813 Management of any suspected unauthorized access or compromise.
  • Implement appropriate security measures to protect credentials.

3.2 Revocation

813 Management may revoke, suspend, or terminate API access and credentials at any time, for any reason or no reason, without prior notice, liability, or obligation to provide an explanation. You have no right to continued access.

3.3 Rate Limits and Quotas

API access is subject to rate limits, quotas, and other restrictions as determined by 813 Management in its sole discretion. These limits may be changed at any time without notice. Exceeding limits may result in immediate suspension or termination.

3.4 API Scopes and Permissions

813 Management may modify, add, remove, deprecate, or discontinue any API scopes, endpoints, permissions, features, or functionality at any time and for any reason, without prior notice or liability. You acknowledge and agree that you have no expectation of continuity, stability, or permanence with respect to any API scopes, permissions, or features. Any reliance on the continued availability of specific API functionality is at your sole risk. 813 Management shall have no obligation to maintain backward compatibility or provide migration assistance.

4Monitoring, Logging, and Audit Rights

You acknowledge and agree that 813 Management may, without notice:

  • Monitor, log, record, and analyze all API calls, requests, and traffic patterns.
  • Collect metadata, usage statistics, and performance metrics.
  • Inspect transmitted data for compliance and security purposes.
  • Audit your use of Developer Resources for compliance with these Terms.
  • Retain logs and records for any period deemed necessary.

Upon request, you must provide 813 Management with access to records, systems, and information necessary to verify compliance with these Terms.

5Prohibited Activities

5.1 Reverse Engineering

You shall not reverse engineer, decompile, disassemble, derive source code from, or otherwise attempt to discover the underlying structure, algorithms, trade secrets, or ideas of any Developer Resources, APIs, or related systems.

5.2 Competitive Use

You shall not use Developer Resources to:

  • Develop, improve, or assist any product or service that competes with PulseCRM, PulseAPI, or any 813 Management offering.
  • Provide competitive intelligence to any third party.
  • Replicate or substitute the functionality of PulseCRM or PulseAPI.

5.3 Scraping and Data Collection

You shall not scrape, crawl, spider, harvest, index, cache, or systematically collect data from Developer Resources or any 813 Management systems, except through properly authorized API calls within applicable rate limits.

5.4 Benchmarking

You shall not conduct, publish, or disclose any performance benchmarks, comparative analyses, or evaluations of Developer Resources without prior written consent from 813 Management. Any unauthorized benchmarking results are deemed confidential information of 813 Management.

5.5 Circumvention

You shall not circumvent, disable, or interfere with any security, authentication, rate limiting, or access control mechanisms, or assist others in doing so.

5.6 Additional Prohibitions

You shall not:

  • Sublicense, resell, rent, lease, or transfer access to Developer Resources.
  • Use Developer Resources for any unlawful purpose.
  • Interfere with or disrupt the integrity or operation of any systems.
  • Misrepresent your identity, affiliation, or authorization.
  • Remove, alter, or obscure any proprietary notices.

6Termination

6.1 Termination by 813 Management

813 Management may terminate or suspend your access to Developer Resources immediately, without prior notice or liability, for any reason or no reason. 813 Management is under no obligation to provide any explanation for termination.

6.2 Effect of Termination

Upon termination:

  • All rights and permissions granted under these Terms immediately cease.
  • You must immediately cease all use of Developer Resources.
  • You must delete all copies of SDKs, documentation, and other materials in your possession.
  • All API credentials are immediately revoked.

6.3 Post-Termination Restrictions

Following termination or suspension of your access, you shall not attempt to circumvent such termination or suspension by accessing Developer Resources through any affiliates, subsidiaries, related entities, agents, proxies, VPNs, alternative accounts, or any other means. Any attempt to circumvent termination shall be deemed a material breach of these Terms and may result in legal action. 813 Management reserves the right to terminate access for any entity or individual reasonably believed to be acting on behalf of, or in coordination with, a terminated party.

6.4 Survival

Sections 2, 4, 5, 7, 8, 9, 10, and 11 survive termination of these Terms.

7Disclaimer of Warranties

DEVELOPER RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

813 MANAGEMENT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND TITLE.

813 MANAGEMENT DOES NOT WARRANT THAT DEVELOPER RESOURCES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

YOU ASSUME ALL RISK ARISING FROM YOUR USE OF DEVELOPER RESOURCES.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 813 MANAGEMENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF DEVELOPER RESOURCES.

IN NO EVENT SHALL 813 MANAGEMENT'S TOTAL AGGREGATE LIABILITY EXCEED THE LESSER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL FEES ACTUALLY PAID BY DEVELOPER TO 813 MANAGEMENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF 813 MANAGEMENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9Indemnification

You agree to indemnify, defend, and hold harmless 813 Management and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of Developer Resources; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) any application or service you develop using Developer Resources.

This indemnification obligation shall survive termination or expiration of these Terms indefinitely and without limitation as to time, and shall apply to all claims arising from or related to conduct occurring during or after the term of these Terms.

10Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles.

10.2 Exclusive Jurisdiction

You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah, for any disputes arising out of or relating to these Terms. You waive any objection to such jurisdiction or venue.

10.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.

10.4 Injunctive Relief

You acknowledge that any breach of these Terms may cause irreparable harm to 813 Management and that monetary damages may be inadequate. Accordingly, 813 Management shall be entitled to seek injunctive or other equitable relief without the requirement of posting bond.

11General Provisions

11.1 Entire Agreement

These Terms, together with all policies and documents incorporated by reference, constitute the entire agreement between you and 813 Management regarding Developer Resources.

11.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

11.3 No Waiver

No failure or delay by 813 Management in exercising any right shall constitute a waiver of that right. Any waiver must be in writing and signed by 813 Management.

11.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without prior written consent from 813 Management. 813 Management may freely assign these Terms. These Terms bind and inure to the benefit of permitted successors and assigns.

11.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

11.6 Notices

813 Management may provide notices by posting to the website, via email, or through Developer Resources. You are responsible for monitoring such communications.

By accessing or using any Developer Resources, you acknowledge that you have read, understood, and agree to be bound by these Developer Terms of Service.
