Unsolicited Ideas & Feedback Policy

813 Management, LLC, a Utah limited liability company ("813 Management," "we," "our," or "us"), including its subsidiaries, affiliates, successors, and assigns, maintains a strict policy of not accepting, reviewing, or considering unsolicited ideas, suggestions, proposals, inventions, concepts, techniques, processes, materials, or creative submissions ("Unsolicited Ideas") from parties outside 813 Management.

This policy applies to all Unsolicited Ideas relating to PulseCRM, PulseAPI, or any other products, services, technologies, or business operations of 813 Management.

This policy exists to:

• Avoid misunderstandings regarding the origin of ideas, features, or products developed by 813 Management
• Protect 813 Management from claims that its products or services incorporate third-party ideas without authorization
• Allow 813 Management to continue developing products and features independently without the risk of disputes
• Establish clear terms governing any submissions made despite this policy

"Unsolicited Ideas" includes, without limitation:

• Product or feature suggestions
• Technical ideas, designs, or architectures
• Business concepts or strategies
• Marketing or promotional ideas
• User interface or experience designs
• Integration or partnership proposals
• Inventions or patent disclosures
• Creative content, artwork, or written materials
• Feedback provided outside of official feedback channels or programs
• Any other submissions not expressly requested by 813 Management in writing

By submitting any Unsolicited Ideas, you automatically grant 813 Management, without any compensation, acknowledgment, or other obligation to you:

• A perpetual, irrevocable, worldwide, royalty-free, fully-paid, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, commercialize, and create derivative works from the submission
• The right to use any ideas, concepts, know-how, or techniques contained in the submission for any purpose whatsoever
• The right to develop and market products or services based on, similar to, or incorporating the submission
• The right to disclose the submission to third parties without restriction

These rights are granted without any requirement to attribute the source, provide notice, or obtain further consent.

813 Management is under no obligation to:

• Review, evaluate, or consider any Unsolicited Ideas
• Respond to or acknowledge any submission
• Keep any records of submissions
• Return any materials submitted
• Provide any explanation or feedback
• Implement or use any submission

You agree that no compensation of any kind is owed or will be owed to you by 813 Management for any Unsolicited Ideas, including if 813 Management:

• Uses, develops, or commercializes ideas similar or identical to your submission
• Has already independently developed similar ideas
• Develops similar ideas in the future without reference to your submission
• Receives similar ideas from other sources

You acknowledge that 813 Management has substantial engineering, product development, and business teams that independently develop ideas, features, products, and services. Any similarity between your submission and any 813 Management product, service, or feature, whether existing or future, does not and shall not constitute evidence of use, copying, or derivation from your submission.

This policy and any disputes arising from it shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in Salt Lake County, Utah.
